Co-Innovation

For distribution leaders who don't just want to use AI products — they want to own them.

The AI products your industry needs should be owned by the people who understand the industry.

The distribution industry is being shaped by technology companies that have never stepped inside a branch, never negotiated a supplier rebate, and never managed a warehouse during peak season. They build products from the outside, using assumptions about how distribution works. Some of those products are useful. None of them are built with the depth that comes from operating inside the business.

Co-Innovation is Torinit's answer to that imbalance. Instead of building products for distributors, we build products with distributors — as equity partners in a shared entity designed to create, own, and bring to market AI products that serve the entire sector.

This is not a consulting engagement with an equity wrapper. It's a business partnership between a distribution operator and an AI product company, structured so that the people who understand the problem and the people who know how to solve it share ownership of the result.

THE DISTRIBUTION REALITY

A shared entity.
Shared investment.
Shared ownership.

A new entity is formed.

Torinit and one or more distribution partners create a jointly owned entity dedicated to building AI products for a specific distribution sector. The entity has its own governance, its own product roadmap, and its own commercial model.

The distribution partner contributes capital and domain access.

You invest alongside Torinit — not just time and expertise, but capital that reflects genuine commitment to the venture. You also open your operations for the deep discovery work that makes the products real. Your capital investment determines your equity stake.

Torinit contributes product development and go-to-market.

We bring the AI engineering, product design, UX research, infrastructure, and commercial expertise to build and sell the products. This is what we've spent a decade building the capability to do. Development, marketing, and sales are our responsibility.

Products are owned by the entity.

Every product built within the partnership is owned by the shared entity — not by Torinit alone and not by the distribution partner alone. Revenue from licensing, subscriptions, and sales flows to the entity and is distributed according to equity stakes.

The distribution partner guides and validates.

Your role is to ensure the products are built right — grounded in real operational reality, tested against real workflows, and designed for the people who will actually use them. You don't manage sprints or review pull requests. You make sure what we're building actually solves the problem.

Torinit brings products to market.

We handle everything required to take a product from prototype to paying customers — positioning, pricing, marketing, sales, onboarding, and customer success. The distribution partner benefits from growing product revenue without building a sales team or managing customer relationships.

What ownership means in practice.

Equity in a product company, not a license to use a tool.

You don't pay a subscription for products you helped create. You own a share of the entity that builds and sells them. As the products grow, your equity grows with them. This is fundamentally different from being a customer — even a preferred one.

Permanent strategic advantage in your sector.

You're not just the first to use the products. You're the company whose operational DNA is embedded in them. Competitors who adopt the same products later are using tools shaped by your reality. You're always one step ahead because you defined what "ahead" looks like.

Revenue participation without operational burden.

As the entity licenses products to other distributors, revenue flows back to all equity partners. You participate in the upside without hiring engineers, running marketing campaigns, or managing a product roadmap. Torinit handles the operations. You benefit from the economics.

A seat at the table for what gets built next.

As an equity partner, you have governance rights over the entity's product roadmap. What gets built next, which sectors to expand into, how to allocate development resources — these are decisions made together, not dictated by a vendor's priorities.

We built this because we believe the best products require shared skin in the game.

AI Studio proved that products built from inside distributor operations are fundamentally better than products built from outside. Monaro.ai works because it was shaped by people who actually run HVAC branches, not by engineers guessing what a takeoff process looks like.

But Studio has a structural limitation. The distribution partner contributes time and expertise but takes no financial risk and has no ownership stake. Their incentive is first access — valuable, but temporary. Once the product reaches the broader market, the founding partner's advantage narrows.

Co-Innovation solves that. When a distribution partner invests capital alongside expertise, they earn ownership that doesn't expire. Their advantage doesn't narrow as the product scales — it compounds. And the products themselves benefit from a partner whose commitment is backed by investment, not just goodwill.

This model isn't for every distributor or every challenge. It's for the specific situations where the AI opportunity is large enough, the sector need is clear enough, and the distribution partner is committed enough to build something that changes how an industry operates — and to own a piece of that change.

The right Co-Innovation partner.

We're selective about Co-Innovation partnerships because the commitment on both sides is significant. The right partner is a distribution company whose leadership team shares three convictions:

First, that the biggest AI opportunities in distribution are product opportunities — not one-off custom builds, but platforms that can serve an entire sector. If you believe the challenge your business faces every day is also the challenge your industry faces, you're thinking at the right level.

Second, that the best products come from operators and builders working together as equals — not from a vendor selling to a customer. You want to shape the product, not just buy it. You want governance, not just access.

Third, that this is a multi-year commitment worth making. Building, launching, and scaling AI products takes time. The entity we create together needs partners who think in years, not quarters. The returns follow the same timeline — meaningful and compounding, but not overnight.

If this describes how your leadership team thinks, we should talk. Not about a deal structure — that comes later. About the problem your industry needs solved, and whether building the solution together is the right way to solve it.

This begins with a conversation about a problem, not a term sheet.

How It Starts

Co-Innovation partnerships don't start with a business plan or a pitch deck. They start with a distribution leader describing a problem that they believe is bigger than their company — something structural, something the entire sector faces, something that has never had a product purpose-built to solve it.

Deep Dive

From there, we explore together: Is this really an industry-wide problem or is it company-specific? Is the opportunity large enough to justify a product investment? Does the data exist to build intelligence around it? Is there a path to a product that other distributors would adopt?

Solution

If the answers point toward a product, we design the partnership — entity structure, equity allocation, governance model, product roadmap, and commercial terms. Every Co-Innovation partnership is structured individually because no two opportunities are identical.

The right engagement depends on the problem.
